1. About these Terms

These Terms & Conditions ("Terms") are a binding agreement between you and TECH4GOOD Pty Ltd (ABN 87 634 472 352) trading as HodieLabs ("HodieLabs", "we", "us", or "our"). They govern your access to and use of our website, mobile application, memberships, diagnostic services, and any related products or features (collectively, the "Services").

By creating an account, purchasing a membership, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services.

2. Eligibility

• You must be at least 18 years of age to create an account and purchase a membership. Individuals under 18 may only use the Services with the active involvement and consent of a parent or legal guardian.
• You must provide accurate, current, and complete information and keep it up to date.
• Our diagnostic services are presently available only to individuals located in the Australian states and territories where we operate. Eligibility may depend on your location, age, and health circumstances.

3. Educational Purpose

Information provided through the Services is general in nature and offered for educational and informational purposes only. It is not medical advice, diagnosis or treatment, and it does not replace consultation with a qualified health professional, whom you should always consult regarding your health and before acting on any information or results.

4. Accounts and Security

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately of any unauthorised use of your account or any other breach of security.
• We may suspend or terminate accounts that we reasonably believe have been compromised, used fraudulently, or used in breach of these Terms.
• You may not share, sell, or transfer your account or membership to any other person.

5. Memberships, Diagnostics and Add-ons

5.1 What's included

Membership tiers (Essential, Elite, and Ultimate) and optional add-on diagnostics are described on our Membership page. Inclusions, pricing, and availability may change from time to time; the inclusions applicable to you are those current at the time of your purchase or renewal.

5.2 Billing and renewal

• Memberships are billed annually in advance unless otherwise stated at checkout.
• Unless cancelled, memberships renew automatically each year at the then-current renewal price, which we will notify you of in advance.
• Add-on diagnostics and additional tests are charged separately as ordered.
• All prices are in Australian dollars (AUD) and include GST where applicable.

5.3 Cancellation and refunds

• You may cancel auto-renewal at any time before your renewal date via your account settings or by contacting us. Cancellation stops future billing; it does not retrospectively refund the current membership term.
• Where a diagnostic service has not yet been performed, you may request a refund of that service, less any reasonable costs already incurred.
• Once a test has been collected, processed, or results delivered, that component is generally non-refundable.
• Nothing in this section limits your rights under the Australian Consumer Law (see section 11).

6. Diagnostic Services and Third-Party Providers

Pathology, imaging, genetic testing, and certain clinical services are performed by accredited third-party laboratories, clinics, and practitioners. While we select partners carefully, those services are subject to the partner's own protocols, and results are dependent on the quality and timing of sample collection. Turnaround times are estimates only. We are not liable for delays, errors, or outcomes attributable to a third-party provider, except to the extent required by law.

7. Acceptable Use

You agree not to:

• use the Services for any unlawful, harmful, or fraudulent purpose;
• attempt to gain unauthorised access to any part of the Services, other accounts, or our systems;
• interfere with, disrupt, or place undue load on the Services or supporting infrastructure;
• reverse engineer, scrape, copy, or create derivative works from the Services except as permitted by law;
• upload malicious code or content that infringes the rights of others; or
• misrepresent your identity or provide false health information that could affect the integrity of insights provided to you.

8. Intellectual Property

All content, software, design, trademarks, dashboards, scoring methodologies (including the Longevity Score™ and related models), and other materials forming part of the Services are owned by or licensed to HodieLabs and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your own personal, non-commercial health management. Your own health data remains yours. See our Privacy Policy for how we handle it.

9. Your Content and Data

You retain ownership of the personal and health information you provide. By using the Services, you grant us the permissions necessary to process that information to deliver the Services, as described in our Privacy Policy. You are responsible for ensuring that any information you provide is accurate and that you are entitled to provide it.

10. Disclaimers and Limitation of Liability

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all warranties, representations, and guarantees not expressly set out in these Terms, and we do not warrant that the Services will be uninterrupted, error-free, or that insights will achieve any particular health outcome.

To the maximum extent permitted by law, HodieLabs' total aggregate liability arising out of or in connection with the Services is limited to the amount you paid to us in the 12 months preceding the relevant claim. We are not liable for indirect, incidental, special, or consequential loss.

11. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded. Where our goods or services come with guarantees that cannot be excluded, our liability for breach of such a guarantee is limited (at our option) to re-supplying the service or paying the cost of re-supply, except where it would be unlawful to so limit our liability.

12. Suspension and Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the Services to you would create a safety, legal, or security risk. On termination, certain provisions (including those on intellectual property, liability, and data retention) survive. Our data retention practices on account closure are set out in our Privacy Policy.

13. Changes to the Services or Terms

We may modify, suspend, or discontinue features of the Services from time to time. We may also update these Terms to reflect changes in our practices, technology, or legal obligations. Where changes are material, we will provide reasonable notice by email or in-platform notification. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. You and HodieLabs submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
